Autobiographies of Ben Franklin and Frederick Douglass Essay

Ben Franklin and Frederick Douglass are the most prominent figures in American history who fought for freedom and equal rights, democracy and racial equality. Frederick Douglass was one of the most important figures in anti-slavery and civil rights movement which took place in the 19th century. Ben Franklin was a scientist, politician, diplomat and author. His social and political activity coincided with consolidation and creation of the nation and for this reason his liberal ideas had a great impact on formation of the nation. Thesis For both Franklin and Douglass, escape from oppressive circumstances became a turning point in their careers giving rise to political and social activity. The themes of survival and escape are closely connected with family background and early life of both men. Benjamin Franklin was of a family that for generations had lived by the sweat of its brow. Like his ancestors for generations back, he was bred to a trade through a long apprenticeship. That he became a journalist was not altogether accident. His Uncle Benjamin and his maternal grandfather had been versifiers, and his elder brother had become printer of the fourth newspaper set up in New England. Franklin describes his experience: â€Å"I disliked the trade and had a strong inclination to go to sea, but my father declared against it. The story of his teaching himself to write is generally known. Frederick Douglass was born a slave in 1818, and raised by his grandparents. Historians suppose that â€Å"Douglass’ grandmother, Betsy Bailey, was the central figure in his early years1. In contrast to Franklin oppression and slavery were the driven forces which forced Douglass to escape from. At their twenties, Franklin and Douglass ‘escaped‘ and run to big cities looking for job and career opportunities. At the age of 20, Douglass escaped from his master and went to New Bedford, Massachusetts. â€Å"No longer in the clutches of slavery, he was ready to take the next steps in his career as an orator, a preacher, and an abolitionist† 2. It was a watershed in his life. â€Å"This battle with Mr. Covey was the turning-point in my career as a slave. It rekindled the few expiring embers of freedom, and revived within me a sense of my own manhood† 3. At the age of 18, Franklin broke indenture and run to Philadelphia. During a year, he worked for Samuel Keimer, a printer. On the October morning, 1723, when Franklin passed under the sign of the Bible, entered the shop of Bradford and asked for work, Samuel Keimer, a rival printer, had set up in the town. Bradford had nothing for the lad to do, but gave him a home and sent him to Keimer, by whom he was soon employed. He describes â€Å"I have been the more particular in this description of my journey, and shall be so of my first entry into that city, that you may in your mind compare such unlikely beginnings with the figure I have since made there†3. 1. Franklin was sent to Boston with a letter to Josiah, a printer. Josiah refused to take him, and Benjamin came back to Keith, who now dispatched him on a fool’s errand to London. He sailed with the belief that he was to have letters of introduction and letters of credit that he was to buy types, paper, and a press, and return to America a master printer. He reached London to find Keith a knave and himself a dupe. After the escape, both men started active political and social activity. Douglass became a lecturer for the Massachusetts Anti-Slavery Society. He started publishing activity and published several newspapers including â€Å"New National Era†, â€Å"Frederick Douglass Weekly†, â€Å"The North Star†, â€Å"Frederick Douglass’ Paper†, etc. He made friends with Wendell Phillips and William Lloyd Garrison. During the Civil War, he was an adviser to President Abraham Lincoln. Philadelphia during 1727 to 1757 was a town of remarkable intellectual activity. During 1727-1730, Franklin emerges as the chief political leader and scientist, the energizing, galvanizing source of two-thirds of the town’s important enterprises 1. In autobiography, Douglass creates a vivid image of slavery as â€Å"a burden† with deprives many people a chance to be free from oppression and humiliation. There is intensity of illusion because the author is pres ¬ent, constantly reminding readers of his unnatural wisdom. The moral quality of both works depends not on the validity of doctrines, but on the moral sense and arguments presented in the work. In both books, a certain amount of plot is based on emotional response. For Franklin, escape became a turning point in his career and world views. For instance, to get a circulation Philadelphia Franklin resorted to clever expedients. He strove to make the â€Å"Gazette† amuse its readers, and to persuade the readers to write for the â€Å"Gazette;† for he well knew that every contributor would buy a dozen copies of the paper containing his piece from sheer love of seeing himself in print. Necessity to survive and hardship had a great impact on their moral values and views. Douglass supported equal rights movement and fight for emancipation in England where he earned the nickname â€Å"The Black O’Connell†. After the Civil war, Douglass was selected the President of the Reconstruction-era Freedman’s Saving’s Bank; Minister-General to the Republic of Haiti and marshal of the district of Columbia. In 1862 Frederick Douglass described him as a â€Å"miserable tool of traitors and rebels† and â€Å"quite a genuine representative of American prejudice and negro hatred† 1. For many Americans, religious norms represent the main code of values and norms determining specific mode of conduct personally and socially preferable. To some extent, this way of thinking gives strength and flexibility to both men who reflect their own identification with an entity – the nation. Desire for independence and self-identity can be interpreted as distinctively â€Å"American† feature and unique style of life. The first acknowledged master of American literary expression, Franklin is also in the heroic tradition of American humor. Franklin’s humor and wit-the gentle touch that won men’s hearts and affections and the bite of satire that disconcerted the enemies of America and the opponents of freedom and progress-reveal him in his most creative aspect as a pioneer of the American personality. Though vivid images and ideas of survival expressed in his work, Douglass appealed to emotions of slaves talking about ideas of independence, freedom and equal rights. Douglass writes: â€Å"It was enough to chill the blood and stiffen the hair of an ordinary man to hear him talk. Scarce a sentence escaped him but that was commenced or concluded by some horrid oath† 1. Douglas did not believe in arguments against slavery, supposing that common sense and moral values were higher than any religion. Always loyal to this broad notion of what is real, Douglass tends to seek a mode of radicalizing viewing. In 1872, Frederick Douglass became the Vice President of the United States and was the first African-American who had occupied this high position. For both men, escape becomes a symbol of future and hopes. Franklin and Douglass paved the way in accordance with life expectations and aims coined by hardship and necessity to survive. Their style encompassed a respect for human dignity transcending the limitations of color, a defense of the rights of the press and of freedom of speech and conscience, a concern for the liberty of every man to worship God in his own way, a regard for education and learning and for arts and letters, a sincere belief in equality of opportunity and condition that expressed itself in a concern to prevent excessive wealth and extreme poverty, and a passionate belief in the future greatness of America. 1. My College Experience in University of La Salette Essay

A Bachelor of Science in Business Administration from a private university, La Sallete revels in my undergraduate days and shares the ups and downs of transitioning from secondary school to college. Along the way in second semester I found a little bit more worried. The college experience is one that holds many pleasant memories for me. I began the journey as a scared rat out in the open desert that have many prediators, but made the best of it and I think forward to become a willful man. It all started after I completed secondary school knowing that the next sure step was College, which made me worried and every thought of it. It started from â€Å"What should I study?† to â€Å"Where should I go?† and ended with the fear, â€Å"Will I survive on my own?† The saddest thing about embarrass on this journey towards my tertiary education is that many childhood high school friends have to be left behind and many times than not, the comfort of your own home as well. With all this in mind, I began for my search and discovered that Business Administration Major in Marketing was best suited for me in terms of course outline and career pathway. I enrolled in a college in U.L.S which meant that I had to stay out, as it was ridiculous to think of travelling to and Santiago from Roxas every week. I signed up for my courses for the First semester I enrolled in University of La Salette – Roxas Campus. The experience is good but I have a feeling that I don’t deserve to study again in our home town so in second semester I decided to transfer in the main campus of U.L.S which in Santiago City. Picked out a room or a boarding in Santiago nearby in the school campus is hard because there is a lot of room to offer but minimal the quality I want. But in my 2 semester of college and first time in Santiago I choose a boarding near in our school. In my first day of staying in our boarding I met my entire roommate which is kaka, graysom and jp and the n we waited for the first day to begin. I distinctly remember stepping into my first class. The lecturer was rather amusing and he gave us time to settle in that day. It wasn’t as bad as I’d thought it would be. In fact I suddenly found myself gaining more confidence and determination from that week on. I began reshaping my work style and schedule to fit into the mold of college life! The first thing that hit me was the workload. It was definitely much heavier and intense than what I was used to in high school. The major challenges to get past were the large volumes of reading, the short deadlines and the intensive writing, writing and more writing. On some of these long, seemingly endless nights of mugging the books and writing, it is only natural for one to long for the good old days when friends were around to mull over a problem together and my step mother was there to take care of my dietary needs and quick fixes of rice and egg. But hang in there. Trust that this will pass when morning comes. Whatever you do, don’t make major decisions about your courses, your major or even what you’re going to do the next day during one of these down periods. However, even with these initial challenges, college was the phase in my life where I started finding myself. I grew to learn what I really like and dislike, what work style was best suited for me and most importantly what I was naturally good at. In other words, being forced to be independent was push in action that I needed at that time. Once I grew comfortable with myself, I began to enjoy the difficulty to detect opportunity given; to meet new friends. I ran for student council when I was in Roxas Campus and elected as business manager of the board but it was cancelled when I was transfer here in Main Campus and I also joined in Filipino Club. Getting involved in Filipino Club and handling â€Å"Buwan ng Wika†was challenging. I wanted to excel academically and get good grades but I realized that in spending most of the day in college, I had to give more to gain more. But in Santiago it is different story, it is hard to get grade and there is a lot of attraction that attract me to be stun and relax my life but that is not a good thing because when I discover that when I enjoying my grade is falling. One thing I remember best is when we have a commercial competition we try our best and give the entire thing that we have. The completion is about radio commercial and T.V commercial in T.V commercial lost and I think we are 5 or 4 placer but in our radio commercial we won and we accepted to the final exam. In this competition I meet new friends and enemy in the sense of competition. In this past 2  ½ years experience a lot, experience that remarkable in my life, to be drunk, to be bullied or bullying anyone, to be love and to be unloved. I learn a lot of these college life but now I see myself that many thing have change to me, my pubic hair was grow, voice was become loud, attitude that even my father didn’t know me now, but even they see me like that I always say that I am Jhon Marco S. Bulanadi yes is a change man but a man with experience that will suited in the outside world of college that prepare in the true life and not scenario anymore. These moments are the special things in college that one will not get to experience at work or elsewhere. All in all I found college life to be demanding and unexpected, but I had my fair share of fun, and that’s what mattered most. I successfully made the transition from high school, to college, to the working world, with my sanity and health intact. Considering all things past, I would change if I had a chance, developed new skill if ever it is needed, Iam a innovative person that willing to change every day if it is needed. THE HUMAN RIGHTS ABUSES THAT I EXPERIENCE AND MY LEARNING FROM THESE ABUSES Human rights are basic freedoms that all people are entitled to enjoy. But in every place even where human rights are acknowledged, people may not enjoy them equally. I experienced human rights abuse when I was still young. I was 7 yrs old when I had a teacher who was very cruel and strict. There was a time when I came to school late and she let me stand under the sun f0r a very long time. My freedom from cruelty and punishment was violated. Another is when my phone was confiscated at school and my teacher read all my text messages without my consent. She violated my privacy. My right to freedom of religion was also violated when someone was asking me to join a religious group even when I already said no because I am already happy with a religion I am already engaged with. I also have experienced inequality both at home and school. My parents sometimes do not treat us equally. Sometimes they give everything that my siblings ask for but when it comes to me, it takes much time and effort to convince them. In school, some teachers do not give equal and reasonable grades with students who exerted equal efforts. Sometimes, they give higher grades to their favorite students. As a human being, we should treat each other equally. We are all entitled to human rights regardless of age, race, color, sex, language, religion, property, birth, nationality an economic status. And of course, we should always remember the golden rule; do not do unto others what you don’t want others do unto you.

Analytical Psychology of Carl Jung Essay Psychological Therapeutic System, more commonly known as, Analytical Psychology, was developed and founded by a Swiss psychiatrist, Carl Gustav Jung. Carl’s family was very involved with the Christian faith, when Carl had his â€Å"initiation† he didn’t have any moving feelings and that was said to be a main reason to why he chose to go on with his later work, he was trying to replace the faith that was missing from his life (Mitchell). Jung and Freud met up and began a six year long journey of research and work together until they split right before World War I in May 1914. Jung soon started his own research which became Analytical Psychology in response to Freud’s psychoanalysis. (Mitchell). â€Å"Jung taught that the psyche consists of various systems including the personal unconscious with its complexes and a collective unconscious with its archetypes,† (PsychoHeresy Awareness Ministries). Analytic psychology is the analysis of the human mind, psyche and the unconscious, as well as the conscious components of the mind. It is thought that mans behavior and his conscious states can be explained only by unconscious sources of what motivates him. Jung believed that the mind could be divided into unconscious and conscious parts. The unconscious mind was made up of layers; the personal unconscious is the part of the unconscious mind where each persons unique own experiences and that may not be consciously remembered are stored. Jung believed that the contents of each persons personal unconscious are organized in terms of complexes, clusters of emotional unconscious thoughts. One may have a complex towards their mother or towards their partner. Jung referred to the second layer of unconsciousness as the collective unconscious. This level contains memories and behavioral predispositions that all people have inherited from common ancestors in the distant human past, providing us with essentially shared memories and tendencies. People across space and time tend to interpret and use experience in similar ways because of archetypes, inherited human tendencies to perceive and act in certain ways. During Analytic Therapy, Jung may use certain archetypes to explain a person’s unconscious thought that even affect their behavior. Jung believed that there are certain archetypes that are important in peoples lives. These archetypes are as follows. The persona archetype is the part of our personality that we show the world, the part that we are willing to share with others. The shadow archetype is the darker part of a person, the part that embraces what we view as frightening, hateful and even evil about ourselves the part of us that we hide not only from others but also from ourselves. The anima is the feminine side of a males personality, which shows tenderness, caring, compassion and warmth to others, yet which is more irrational and based on emotions. The animus is the masculine side of a womans personality, the more rational and logical side of the woman. Jung posited that men often try to hide their anima both from others and from themselves because it goes against their idealized image of what men should be. According to Jung, these archetypes play a role in our interpersonal relationships. For example, the relationship between a man and a woman calls into play the archetypes in each individuals collective unconscious. The anima helps the man to understand his female companion, just as the animus helps the woman to understand her male partners (PsychologyCampus. com, 2004). Jung distinguishes two differing attitudes to life, two ways of reacting to circumstances, which he finds so widespread that he could describe them as typical. The extraverted attitude, characterized by an outward personality, an interest in events, in people and things, a relationship with them, and a dependence on them. This type is motivated by outside factors and greatly influenced by the environment. The extraverted type is sociable and confident in unfamiliar surroundings. The introverted attitude, in contrast, is one of withdrawal of the personality and is concentrated upon personal factors, and their main influence is inner needs. When this attitude is habitual Jung speaks of an introverted type. This type lacks confidence in relation to people and things, tends to be unsociable, and prefers reflection to activity. This approach is especially helpful to clients that can remember their dreams and are either interested or troubled in them. They are often asked to keep a journal of their dreams and other impressions that they feel. When working with analytical psychology clients are expected to be as open, spontaneous, and self-observant as they can. Jungians will generally not use any formal assessment procedures while in therapy, and are not likely to diagnose problems. They take dreams very seriously and consider them central to establishing dialect between consciousness and unconsciousness. But even with the increasing number of courses and degrees delivered entirely online, and the number of supporters this type of education has gained, many still express opposition to it as against the traditional classroom education. Former college teacher James Barszcz’s is one well-known critic of distance education. He strongly asserts in his essay that distance learning cannot fulfill the true purpose of education. The diffusion of the Internet worldwide has literally changed the traditional structure of the school, and, as it can be noticed from the previous examples, it is doing in many different ways that are more and more interesting. Not only that, a great number of distance education programs cater to the requirements of a lot of diverse people of all ages, sexes, occupations, learning backgrounds and health conditions. Granted that personal contact which is very important in effective education is missing with this kind of education, but as is the situation with all new technologies, there are negative and positive aspects to distance learning. Many instructors, as well as students of distance education miss this. Distance learning can admittedly be lonely sometimes. There is always a price to pay, whether it be big or small. Although this is the case, steps could be done to assuage this drawback. Encouraging students to share something about themselves is one activity that can at least give all participants the feeling that they know something about their colleague and the professor. Additionally, many courses are well supported and, for students who are unable to attend residential events, there are usually opportunities for students to participate in online discussion groups, clubs and societies. It would be noteworthy to point out that for distance learning to be effective, a conducive learning environment needs to be created and maintained. If this would be followed, distance education, with an extensive record of providing learning to out-of-the-way and distant learners, will become the effective, mainstream method of education and training that advocates claim it to be. In a world where continuous learning is a must, distance education has paved the way for everyone to have access to the educational system without having to physically go to school. Discipline is needed, of course, but it is one value that even traditional schooling teaches students to have. In the end, distance education can only provide a win-win situation for everyone involved in it.

Evaluation Impact On Financial Operations Cadburys And Kraft Marketing Essay Choosing the Topic After completion of all my fundamental papers in August 2010, I waited till the next session to decide to submit a research and analysis project for the Oxford Brooke University. The reason for such delay was the pressure to complete three professional papers in December session. This report is also important to me because I believe by having combination of both Profession qualification and a degree will uplift my career. To base my project on ACCA provided me with a list of 20 recommended topics to choose from. After reading through the list, the topic that immediately attracted my attention was topic 19 which was The financial and operational consequences of a merger between two organisations or of the acquisition of one organisation by another. What attracted me the most about this topic was that, it was all very relevant to my studies as I am thinking to pursue financial management after ACCA. I knew this topic will allow me to try out and learn the all important, analytical skills. Other reason to choose this topic was the much talked about acquisition of KRAFT and Cadbury therefore it encouraged me to choose this topic. Another reason was availability of the vast amount of information through the internet and press release because of recent release of Krafts recent fourth quarter in the month on February 2011. Choosing the organisation Once I chose my topic, I had to choose an organisation to base my research on. I chose Kraft and Cadbury for my analysis; it was an obvious choice as this was the acquisition that impelled me to select this topic. This was one of the most controversial and largest takeovers in the year of 2010. I believed the takeover by the 2nd Largest Food Giants in its industry would accomplish the objective I had in mind for the project. Aims Objectives The main objective of this report is to evaluate the consequences of the acquisition on the finance and operations aspect of KRAFT FOODS. The financial statements by themselves only provide the quantitative data which need to be analysed by drawn graphs. The main focus of this report, therefore, is as follows: To analyse the reasons for Kraft to make a strategic choice of acquiring Cadbury and whether it satisfy the strategic fit as claimed by the CEO of KRAFT FOODS in terms of financial and business operations. The second part of the research aims to analyse whether Kraft is on the track to achieve its targets it promised its stakeholders at the time of acquisition. Since financial information wasnt sufficient for my research, I need to review the strategic decisions made by Kraft for its subsidiary Cadbury after the acquisition along with the friction identified while integrating both business. The anticipated future of Cadbury under Kraft Group. In order to achieve the aims mentioned above, I have done qualitative analysis using SFE (Suitability, Feasibility Acceptability) and Ashridge model along with quantitative analysis using financial ratios and linking both to get an overall picture. THE ORGANISTAION Company Profile Kraft Kraft Foods is the worlds second largest food company headquartered in North Field, Illinois manufactures and market packaged food products, including biscuits, confectionery, beverages, cheese, convenient meals and various packaged and grocery products.( KRAFT FOODS INC, 2009)The business was formed by James L. Kraft and his four brothers who began by wholesaling door to door cheese business in Chicago. Kraft then achieved growth by merging with other companies and increases the size of the business by expanding more product lines.( Wikimedia Foundation,2011) Being listed on NYSE, Kraft now has approximately 127,000 employees worldwide. Kraft sells products to consumer in approximately 170 countries. At 31 December 2010, Kraft had operations in more than 75 countries and made products at 223 manufacturing and processing facilities worldwide. Kraft portfolio included eleven brands with annual revenues exceeding $1 billion each: Oreo, Nabisco and LU biscuits; Milka and Cadbury chocolates; Trident gum; Jacobs and Maxwell House coffees; Philadelphia cream cheeses; Kraft cheeses, dinners and dressings; and Oscar Mayer meats. Kraft portfolio included approximately 70 brands which each generate annual revenues of more than $100 million. (KRAFT FOODS INC, 2010) Cadbury Cadbury was a leading global independent business in the exciting world of confectionery, a large, growing, brand-led industry. With an outstanding portfolio of chocolate, gum and candy brands, the largest emerging markets business and a focused and experienced team, Cadbury is committed to its long-term vision to be the worlds biggest and best confectionery company. Cadbury operated in more than 60 countries with a workforce of 46000. (Cadbury, 2008) Cadbury made its beginning by opening one single shop by John Cadbury. As time progressed John Cadbury moved into the manufacturing of drinking chocolate and cocoa. Cadbury grew bigger through some organic growth and some mergers. During the first world war Cadbury started to achieve great success, its products were regarded as necessities and Cadbury were at their peak. Cadbury kept investing in technology, new factories and in new products to remain ahead of competition. With factories all over the world and a host of well known brand names it has become a household name in many countries. (Birminghamuk, (n.d.)) INFORMATION GATHERING Sources of Data Data can be collected for any research by the following ways: Primary Research: Under primary research new information is collected via interviews, survey or questionnaire etc; hence information is collected first hand. Secondary Research: Also known as Desk Research is gathered from information which has already been provided but may not be for the same purpose. Such information are easy to access and are my cheaper than carrying out primary research. Such information gathered should be analysed and screened properly so that it fits for the purpose. Kraft and Cadbury both being listed companies although listed in different countries were required to issue annual accounts for its stakeholders by Sarbanes Oxley and Companies House respective. These companies especially Kraft issued Interim Reports as per the stock list requirement. Therefore much of the quantitative and qualitative date was readily available for analysis. Hence I chose to use secondary data over primary. The only complication I faced apart from time pressure was obtaining latest financial information for Cadbury (2009 accounts). Fortunately Kraft public relation team co-operated and emailed me 2008 and 2009 Cadbury annual accounts on my request. The following are the sources of secondary information I used for my project: Annual and Interim Financial Accounts and Reports This is the main source I used for financial aspect of my business and to draw graphs. I had to use interim reports even to demonstrate impact of Cadbury acquisition on Kraft at each and every quarter due to complexity of the business. Krafts annual accounts were available to view and download on Krafts Investors Website. However Cadbury financial statement isnt easily available. Internet This is the source of limitless information; hence it took me a lot of time to extract information which was relative to the point. Firstly it provided me the qualitative information which was missing or less in the financial statement of both entities. Secondly it also provided me information from a third party or neutral point of view. Letters and Reports Under this source, I analyzed the documents sent by Kraft to Cadbury management or reports addressed to Kraft shareholder explaining them the strategic fit of Cadbury acquisition. These documents were available over the internet. Library I used study text published by Kaplan for ACCA to brush my skills and be of aid when I got confused during an analysis phase. Apart from my course books I visited local library for reference books. As I mentioned earlier I didnt had an opportunity to visit British Library for the access of database such as Datamonitor and Mintel. However I was able to get access to Euromonitor through internet and used it as a tool to aid understanding of the application of analytical tools regarding acquisition and both the entities. Data Collection Methods Its easy to collect data, but skills are required to make sense of data and using it for the purpose. It was a fiddly job to collect reliable authentic information to base my reports on. Any negligence on my behalf may cause me a failure in achieving the report objectives. I was cautious and took my time to read through all the information once before starting with my project. As this acquisition was of the biggest acquisition in the year 2010, too much was written by the newspapers and media about it. Reading about the merger in 2011 gave me this idea to do a project on Kraft and Cadbury, as Kraft were about to issue its fourth quarter results. I started my data collection by reading articles from local newspapers as well as papers or journal published in other counties. I viewed them retrospectively. The most prominent newspaper I viewed was Financial Times, Guardian, Reuters, Wall Street Journal and Economists. After I got a general idea behind the acquisition and critics claiming the acquisition as a failure. I downloaded the fourth quarter as well as annual report. I need to know what did CEO responded on the acquisition as it had been a year. Then I looked at financial data provided to support any statement by the CEO. Internet provided me great deal of help in my project. I type in the keywords such as Cadbury Kraft in etc at www.google.com . Find the relevant articles and making notes as well as bookmarks of the WebPages if I needed to read it again for qualitative part of my research. Acquisition for Kraft Pre Acquisition To systematic analyse the strategic choice by Kraft to acquire Cadbury, I will be using Johnson and Scholes framework (Suitability, Feasibility and Acceptability Model). (Wu, 2010) Suitability Kraft Foods Inc. being the second largest food company still looks for opportunities to grow and try to remain one of the market leaders in the industry and and to spread risk by a diversified portfolio. Kraft believes in rapid expansion by acquiring other businesses. Feasibility Under feasibility we would evaluate Krafts position before acquisition in terms of internal resources of the organization this can even be connected to Ashridge s model criteria of possessing sufficient resource by Predator Company. Kraft being second largest business in its industry has huge cash reserve which reflects in its Cash flow Statements of 2008 and 2009 ($1.24 billion and 2.10 billion respectively). Buts its worth mentioning the disposal of Krafts North American Pizza to Nestle for total consideration of $3.7 billion contributed majorly to its high cash reserve. High cash reserve helps them to with acquisition cost and integration cost and any other abnormal cost. Apart from cash reserve Kraft does have reasonable current ratio of 1.04 reflecting its above average liquidity position then its peers. Although Cadbury has a strong hold on overall emerging markets Kraft have a greater position in some markets such as Brazil and Russia. As Kraft being a huge conglomerate busine ss it has vast amount of resources in terms of specialist staff, a highly invested research and development teams and finance etc to back up Cadbury to face competition from other rivals such as Hershey and Mars. Kraft can eve use its power over major supermarket chains such Wal-Mart to increase shelf value of Cadbury as majority of its sales come from small convenient store. Kraft is even able to promote Cadbury heritage brand more rigorously due to available of immense resources. It would be worth mentioning the fact that billion dollar Kraft empire has been experiencing an average growth of impressive 5 % over period of four years to 2008 (where it achieved 13% growth than previous year).(Daltorio, 2009) Acceptability To carry on with a strategic choice it also need to be acceptable by the stake holders. As shareholders are key stakeholders their consent is highly important. Although Kraft assured them the acquisition would result in increase in shareholders wealth as it fits in into its business culture, some shareholders have different opinion. One of the reasons for such conflict of interests is the fear of increase in companys gearing. By 2008 Kraft had a high gearing of 1.34 (ratio) compare to its rival Nestle of (0.36). They fear by acquiring Cadbury, Kraft would issue more long-term debt that may adversely affect the gearing ratio and hence increasing the financial risk of the business and affecting the capability of paying out dividends, hence damaging shareholders interest. The other reason for conflict of interest was the reaction from one of the biggest shareholders Warren Buffett of Berkshire Hathaway who regarded the acquisition as bad deal .He believed Kraft has overvalued Cadbury fo r purchase consideration and the disposal of pizza business to Nestle for $3.7 billion was a mistake. He firmly believed Kraft is paying high premium for the acquisition. One shareholders view didnt affected Krafts strategic choice and Kraft went ahead with the acquisition despite got rejected first time. (UNDER ASHRIDGE MODEL) ACQUISITION for Kraft The long clashing 5 month battle between Cadbury and Kraft was finally over on 2nd February 2010 as Kraft clinches control over Cadbury by 72% holding. Kraft then took total control of Cadbury on June 2010. Cadbury shareholders had a deadline of 2nd February to accept Kraft offer of 500 pence in cash for each Cadbury share and 0.1874 new Kraft shares for each Cadbury share which altogether values each Cadbury share at 840 pence including a special 10 pence dividend. This sums up the total valuation of Cadbury business to approximate of  £11.9 Billion ($19.4 Billion). Kraft offered this purchase price on 19th of January after a long negotiation with Cadbury management. Kraft tried to make hostile takeover on 7th September by a bid worth 300 pence in cash and 0.2589 new Kraft shares for each Cadbury share (valuing it 745 pence a share). However Cadbury rejected the bid immediately and regarded it derisory. Kraft sweetened the bid by raising the original offer and increasing the cash component from 40% to 60% to make it more appealing for Cadbury shareholders. We notice an increase of almost 40% in the market value of Cadbury. The increase in Cadburys share price was triggered by the initial announcement by Kraft of its intention to take over Cadbury in early September of 2009. The announcement was received well by Cadbury Shareholders causing an increase in demand and thereby price of the stock. However we see a fall in the share price of Kraft food at the time announcement (graph below), some analysts believe this was due to Warren Buffet dissatisfaction of Kraft Acquisition. He regarded the acquisition as bad deal, which caused chaos amongst other shareholder hence a price falls. As shown by the graph, we see a downward trend in the net profit margin against each quarter in 2010.Despite the fact that there has been a 27% increase in Net Revenue in 2010 as compared to its preceding year, we notice a fall of 23% in net profit especially in the fourth quarters of 2009 and 2010 ($711m and $547 respectively. However in aggregate there has been an increase in the net profit from 2009. The major reason for such deteriorates result for the fourth quarter was the cost associated with integration between Kraft and Cadbury. The pizza business of Kraft did contributed to the net profit in 2009 , by the sale of its pizza business to Nestle ,Kraft has deprived itself from the positive contribution of its disposal component.(BBC, 2011) The Prime objective of making investment in any business is to obtain satisfactory return on capital invested. Hence, the return on capital employed is used as a measure of success of a business in realizing this objective. Return on capital employed establishes the relationship between the profit and the capital employed. It is used to show the overall profitability and efficiency of the business. By analysing we see a fall in return on capital employed although the sales and net profit overall has increased however it hasnt increased by the proportion of investment made by KRAFT FOOD. As Mr. Warren Buffet feared that Kraft did overpay for the acquisition this can be reflected in diminish of return on capital employed. I have also included a graph showing fall in earning per share that illustrate the point of less return for the investors this maybe due to issue of new share to Cadbury shareholders. (Wilson , 2010) I have included this graph in my research report especially to breakdown the positive and negative contribution made by Cadbury to Kraft operating income in 2010 as compared to Kraft in 2009. As announced by CEO of Kraft Foods, Kraft is highly likely to expect $1 billion in incremental revenue synergies apart from $750 million in cost saving by 2013. In order to achieve the synergies Kraft has budgeted to spend $1.5 billion in the first three years following the acquisition to combine and integrate the two businesses and already incurred $657 million in 2010. As stated in Kraft Annual Account 2010, Kraft incurred and expensed transaction related fees of $218 millions in 2010 and $40 million in 2009.Kraft has recorded the mentioned costs under selling, general and administrative expenses in Profit and Loss Statement (Statement of Comprehensive income). However in the above graphs include figures which has been given in the Kraft 2010 annual accounts analysis of operating profit rather than actual incurred cost as some cost have been taken under finance cost which hasnt been included in arriving at operating profit for 2010. This seems a draw back in the acquisition objecti ve and maybe criticizes by its stakeholders as integration cost has reduced Krafts earning by 33%. (BBC, 2011) Liquidity ratio expresses a companys ability to repay short-term creditors out of its total cash. The liquidity ratio is the result of dividing the total cash by short-term borrowings. This Graph represents the two liquidity ratio one normal current ratio and another quick test ratio. Unlike Current ratio, quick ratio focus on the most liquid assets hence it exempt inventory from current asset while calculating ratio. Some of the key points that need to be addressed before analysis of the graph are the disposal of the pizza business and all the working capital relating to it. We should also account for the current assets and current liabilities acquired by Kraft such as Net Receivable of $ 1333 m and Accounts Payable of $ 1605 m etc. Another point to be mentioned is that while calculating Quick ratio I havent excluded the deferred tax asset, while some analyst exclude deferred tax asset as they dont regard it liquid. We see a significant difference between both ratios as inventory has occupied much of the working capital. Comparing it to the last year it is almost consistent with the growing sales. We notice a slight deterioration in both the ratio of 2010. The $3.7 billion cash raised by disposal of the pizza business was used to pay cash component of the acquisition. The rise in the actually figure is in line with the growing and diverse sales (Kraft Foods Inc, 2010) Gearing Ratio is a measure of financial leverage, demonstrating the degree to which a firms activities are funded by owners funds versus creditors funds (investopedia).The above graph represents how much company has borrowed compare to equity raised by KRAFT FOODS. Kraft had issued a long term debt of $9.379 billion (net proceeds) to support the cash component of Cadbury of acquisition along with proceeds from Pizza Business. Kraft even made a repayment $2.1 billion of long term debt during the year. This has increased the total debt of the business from $18990 million to $28724 Million. Kraft has also issued 262 million shares to existing Cadbury shareholder as part of purchase consideration. This has enlarged Krafts share capital affecting the gearing ratio. By taking into consideration the above mentioned circumstances, we see an increase in the gearing ratio of 7%. This may cause some concerns amongst shareholders and lenders of Kraft as the financial risk of the business has increased as more interest will be paid from the profits available to pay dividends to shareholders. This may even damage the creditability of KRAFT FOOD in lenders market as it has borrowed 80% to Equity, hence it may be charged high interest rate by the lenders in future. (Kraft Foods Inc, 2010) (Hoskins, 2010) Interest cover is a measure of the adequacy of a companys profits relative to interest payments on its debt. This ratio will help to explain the previously mentioned financial due to increase in gearing. Due to the increase in leverage we see a fall of 0.94 in interest cover which means there would be less profit available for dividends. This maybe is one of the reasons why Warren Buffet (one of the major shareholder in Kraft) reduced its stake from 9% to 6%. The ratio is over 2 which is considered strong by analyst and reflects Krafts strong position in borrowers market. However Fitch, one of reputed credit rating agency, has downgraded the default rating on both companies to BBB-. However its rivals havent downgraded the rating as yet but our reviewing if they should follow their peers. Flitch has downgraded the rating due to anticipated increase in financial leverage of the combined Kraft/Cadbury. (Peters et al, 2010) Operational Changes Post Acquisition The significant changes in operations along with their impact on KRAFT FOOD GROUP as a whole: Closure of Somerdale factory Days after acquisition Kraft announced the closure of Cadbury factory in Bristol. During the acquisition struggle, Kraft pledged to retain Somerdale Factory. The announcements created a chaos amongst Cadbury workforce and British Unite trade union as 400 employees were being made redundant. It would be worth mentioning; Cadbury prior to its acquisition (in year 2007) had already announced the closure of its Somerdale factory as they had invested more than  £100million in the production plant in Poland to be cost effective. Not only did the Greatest superpower in the world get bested by a third world nation, but also lost many of it's young men to a meaningless war that they could have never won. To prevent the domino effect and, from America's point of view, stop the further spread of communism, the U.S. held on to the Truman Doctrine and stood behind the South Vietnamese leader, Diem. The United States supplied Diem and has party with economical and military assistance to fight the forces of Ho Chi Minh, who was fighting for a united Vietnam and at the same opposed American and French intervention. What the United States did not realize was that Ho Chi Minh had the backing of the people of Vietnam, " By Supporting Her (France) attempt to establish a Vietnamese regime which lacked nationalist support, we helped insure that Vietnamese patriots would have no real alternative but to rally to the banner of Ho Chi Minh". Deim himself acknowledged that he was not excepted by the people of Vietnam nor did he have their support " Gained popularity as a leader of the resistance, not as a communist", and that the vast majority of his followers were nationalist and in no way pro communist. America failed to open It's eyes and realize that a man such as Ho Chi Minh, who was the established leader of the nationalist movement, could never be replaced by a man, Deim, who was supported by foreign forces and was lesser known then Ho Chi Minh. Deim was a leader of a government that was deeply corrupted and inefficient, resulting in it being unpopular with it's people in Saigon and villagers in the interior, who were neglected by the government. Country of Origin Meat Labeling :: essays research papers

A large problem that has arose in our country is Country of Origin (COO) meat labeling. Imported meat is not labeled with its origin and has become a great problem because of the lack of universal packaging and processing laws. The United States imports meat from 26 foreign countries. This means when you buy a package of hamburger from your local grocery store it could contain meat from anywhere in the world. Other countries meat isn’t the same quality as US meat. Some meat comes from countries such as china where it is legal to feed livestock ground up bone meal from scraped animals. In which that bone meal can carry such diseases such as mad cow disease or a variety of other ailments. Other variances to US policy are things such as pesticides (rodent killer), insecticides (bug killer), and herbicides (weed killer). And when these poisons are used around livestock, they eat them also and are incorporated into the meat you buy at the supermarket. Furthermore, some foreign countries have no sanitation in the way livestock are produced. Some are grown on disease and urine infected water and food. So without labeling of meat origins, the consumer does not know what they are buying which should be immediately changed. The opposition to meat labeling laws claims it is â€Å"too much regulation and cost to gyrate through unnecessary protocols just to label the meat†. But obviously the opposition really has no defense and just doesn’t want their product to plummet once the truth is shown to the consumer. Once labels are applied to meat countries with notorious standards and unsanitary practices will be justly shut out of the market.

Many of the decisions one faces in a typical day could result in a multitude of outcomes. At times it can be hard to determine whether or not the decision you are making is an ethical one. Many philosophies have been devised to illustrate the different ways of evaluating moral decisions. Normative ethics focuses on assessing right and wrong behavior. This may involve reinforcing positive habits, duties we should follow, or the consequences of our behavior (Fieser, 2009). Of the many normative philosophies two stand out to be most accepted; teleology and deontology. Although they oppose each other in how actions are evaluated, they uphold many similar characteristics under the surface. Normative ethics involves either a single rule or a set of principles to evaluate moral conduct. Teleology stipulates that acts are morally acceptable if they produce some desired result. Deontology on the other hand, focuses on the preservation of individual rights and on the intentions associated with a particular behavior. In summation, teleological philosophies consider the ends, or consequences, associated with an action whereas deontological philosophies consider the means (Ferrell, Fraedrich, & Ferrell, 2011). This is why teleology is commonly referred to as Consequentialism. In addition to the rule, deontology also cites individual absolute rights: freedom of conscience, freedom of consent, freedom of privacy, freedom of speech, and due process.
